1. Acceptance of Terms

By accessing or using CONCORDIA (“the Service”), operated by TACITUS (“we,” “us,” “our”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service.

These terms constitute a legally binding agreement between you and TACITUS. By creating an account, you represent that you have read, understood, and agree to be bound by these terms.

2. Description of Service

CONCORDIA is an AI-powered mediation assistance platform that facilitates structured conflict resolution sessions. The Service uses artificial intelligence — powered by Google Gemini via Vertex AI — to guide mediation processes, extract conflict elements using the TACITUS 8-Primitive Conflict Grammar, and generate analysis reports grounded in 46 peer-reviewed mediation and negotiation frameworks.

The Service includes: live audio mediation sessions, real-time conflict analysis, emotion tracking, negotiation intelligence (BATNA/ZOPA), escalation monitoring, settlement drafting, and post-session reporting.

3. Scope of AI Services

The AI mediator is a facilitation tool, not a licensed mediator, arbitrator, attorney, therapist, or counselor. Specifically:

  • The AI provides structured facilitation, analytical tools, and research-backed suggestions — not professional advice
  • Conflict analysis, emotion detection, escalation assessment, and outcome predictions are computational estimates with inherent limitations and potential for error
  • Framework citations (Fisher-Ury, Bush-Folger, Glasl, etc.) are for educational context — they do not constitute professional mediation practice
  • The AI may produce inaccurate, incomplete, or inappropriate responses despite safety guardrails
  • Users should exercise independent judgment and seek qualified professional help when appropriate

4. User Accounts and Eligibility

  • You must be at least 18 years old to create an account
  • Educational accounts may be created by authorized school administrators for students aged 13-18, subject to COPPA compliance and parental consent requirements
  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized access to your account
  • One person may not maintain multiple free accounts

5. Mediation Minutes and Billing

5.1 Credit System

The Service uses a credit system called “Mediation Minutes” (MM). One MM equals one minute of active live mediation session time. Credits are consumed only during active sessions — not while paused, in setup, or reviewing reports.

5.2 Free Tier

New accounts receive 30 free Mediation Minutes. Free minutes do not expire while your account remains active.

5.3 Subscriptions

Paid plans (Mediator at $29/month, Professional at $79/month) provide monthly minute allocations. Unused subscription minutes do not roll over between billing cycles. Subscriptions auto-renew unless cancelled before the billing date.

5.4 Top-ups

One-time credit purchases (top-ups) do not expire as long as your account remains active.

5.5 Refunds

Consumed credits are non-refundable. Unused top-up credits may be refunded within 14 days of purchase if no credits from that purchase have been consumed. Subscription refunds follow Stripe's refund policy. Contact billing@tacitus.me for billing inquiries.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose or to facilitate illegal activities
  • Attempt to manipulate, exploit, jailbreak, or reverse-engineer the AI mediator
  • Use the Service to generate false, misleading, or fabricated evidence
  • Share session data of other participants without their explicit consent
  • Impersonate another person during a mediation session
  • Exceed your plan's concurrent session limits or circumvent rate limits
  • Introduce malicious content, prompt injections, or attempt to compromise the AI or infrastructure
  • Use the Service for surveillance, coercion, or manipulation of other parties
  • Scrape, crawl, or systematically extract data from the Service
  • Resell, sublicense, or redistribute access to the Service without authorization

Violation of these terms may result in immediate account suspension or termination.

7. Informed Consent and Participant Rights

CONCORDIA requires explicit consent from all session participants before mediation begins. This includes consent to:

  • AI-facilitated mediation (participants understand an AI, not a human, facilitates the session)
  • Transcript generation and storage, plus optional consent-gated recording features when enabled
  • Conflict analysis and report generation

Any participant may withdraw consent and leave a session at any time. Recording consent is separate from mediation consent and can be independently revoked.

8. Confidentiality

Session contents are confidential between the participants and the AI mediator. We do not access, review, or disclose session contents except:

  • With your explicit, informed consent
  • When required by law, subpoena, or valid court order
  • To protect safety when our automated systems detect potential harm (domestic violence, child abuse, self-harm, or imminent danger)
  • In anonymized, aggregated form for service quality improvement (no individual session content is identifiable)

9. Intellectual Property

  • Your content: You retain ownership of your session data, transcripts, uploaded documents, and any content you create
  • Our platform: TACITUS retains ownership of the Service, its software, AI configurations, TACITUS Conflict Grammar, design, and documentation
  • Generated reports: Reports and analyses generated by the Service are licensed to you for personal or internal business use. You may share reports with session participants and their professional advisors
  • Trademarks: CONCORDIA, TACITUS, and the TACITUS 8-Primitive Conflict Grammar are trademarks of TACITUS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FROM: MEDIATION OUTCOMES, AGREEMENTS REACHED OR NOT REACHED, AI-GENERATED ANALYSIS, EMOTIONAL DISTRESS, BUSINESS LOSSES, OR DATA LOSS.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TACITUS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from: your use of the Service, your violation of these terms, your violation of any third-party rights, or any content you submit to the Service.

12. Dispute Resolution

Any disputes arising from these terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language. The arbitration shall take place remotely (online) unless both parties agree to an in-person venue.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Termination

  • You may delete your account at any time from Settings
  • We may suspend or terminate accounts that violate these terms, with notice when feasible
  • Upon termination, your data will be deleted in accordance with our Privacy Policy
  • Sections 3, 9, 10, 11, and 12 survive termination

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users in the EU/EEA, mandatory consumer protection laws of your jurisdiction apply to the extent they cannot be waived.

15. Changes to Terms

We may update these terms. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Continued use of the Service after the effective date of updated terms constitutes acceptance. If you do not agree with updated terms, you must stop using the Service and may request account deletion.
